CONDIZIONI GENERALI DI LICENZA D’USO DI SOFTWARE
Le presenti Condizioni Generali di Licenza d’Uso di Software si applicano alla concessione della Licenza a ciascun Licenziatario da parte di Croft Solutions S.r.l., codice fiscale, partita IVA e iscrizione nel Registro delle Imprese di Milano Monza Brianza Lodi n. 14521940966, REA MB- 2789729, capitale sociale euro 10.000,00 i.v., con sede legale in via Italia
n. 50, 20090 Monza MB, PEC croftsolutions@pec.it.
1 DEFINIZIONI
Nel presente Contratto i seguenti termini hanno il significato sotto indicato, restando inteso che i termini definiti al singolare si intendono anche al plurale e viceversa:
“Codice del Consumo”: il d.lgs. 6 settembre 2005, n. 206. “Consumatore”: la persona fisica che agisce per scopi estranei all’attività imprenditoriale, commerciale, artigianale o professionale eventualmente svolta, ai sensi dell’art. 3, comma 1, lett. a), del Codice del Consumo.
“Contratto”: le presenti condizioni generali di licenza d’uso del software, che disciplinano la concessione della Licenza da parte del Licenziante a ciascun Licenziatario.
“Corrispettivo”: la somma di denaro dovuta dal Licenziatario al Licenziante in ciascun mese nel corso della Durata per la concessione della Licenza, come indicato nella Piattaforma al momento dell’acquisto e nella Ricevuta Fiscale o Fattura. “Credenziali di Accesso”: il nome utente e la password selezionati dal Licenziatario al momento della registrazione, o altrimenti attribuiti al Licenziatario, e utilizzati dal Licenziatario per poter utilizzare il e/o fruire del Software.
“Diritti di Proprietà Intellettuale”: (i) marchi (sia registrati che non registrati), ragioni e denominazioni sociali, insegne, ditte, nomi a dominio, e ogni registrazione o domanda di registrazione degli stessi; (ii) diritti d’autore, diritti connessi, e qualsiasi diritto ad effetto equivalente; (iii) invenzioni (sia brevettabili che non brevettabili), brevetti per invenzione, modelli di utilità, disegni e modelli (sia registrati che non registrati) e tutte le relative domande;
(iv) qualsiasi know-how, segreto commerciale o tecnico, tecnologie, processi, disegni, piani, specifiche, metodologie; (v) software (compresi codici sorgente, codici oggetto ed eseguibili, sistemi, strumenti, dati, firmware) e banche dati, nonché la relativa documentazione.
“Durata”: il periodo di validità della Licenza come indicato nella Ricevuta Fiscale o Fattura, ovvero, in mancanza di indicazione, a tempo indeterminato sino a recesso di una delle Parti.
“GDPR”: Regolamento (UE) 2016/679 del Parlamento europeo e del Consiglio del 27 aprile 2016.
“Licenza”: la licenza d’uso del Software concessa dal Licenziante al Licenziatario ai sensi del presente Contratto.
“Licenziante”: Croft Solutions S.r.l., codice fiscale, partita IVA e iscrizione nel Registro delle Imprese di Milano Monza Brianza Lodi
n. 14521940966, REA MB-2789729, capitale sociale euro 10.000,00 i.v., con sede legale in via Italia n. 50, 20090 Monza MB, PEC croftsolutions@pec.it.
“Licenziatario”: ciascuna persona fisica che acquista la Licenza e utilizza il Software.
“Parte”: il Licenziante o il Licenziatario, alternativamente e a seconda del contesto.
“Parti”: il Licenziante e il Licenziatario, congiuntamente. “Piattaforma”: la piattaforma di commercio elettronico mediante la quale il Licenziatario acquista la Licenza.
“Ricevuta Fiscale” o “Fattura”: il documento fiscale emesso dal Licenziante a seguito del pagamento del Corrispettivo da parte del Licenziatario, contenente l’indicazione del Software concesso in licenza.
“Risorse Terze”: qualsiasi software, banca dati sito web, piattaforma o altra risorsa informatica di titolarità di terzi o messa a disposizione da terzi.
“Software”: il software di volta in volta indicato nella Ricevuta Fiscale o Fattura relativa al pagamento del Corrispettivo della Licenza, di titolarità del Licenziante e oggetto della Licenza. “TUF”: il d.lgs. 24 febbraio 1998, n. 58.
2 Conclusione ed efficacia del Contratto
2.1 Il presente Contratto è stipulato tra il Licenziante e il Licenziatario ed entra in vigore al momento del completamento della procedura di acquisto della Licenza sulla Piattaforma e del pagamento del Corrispettivo da parte del Licenziatario.
2.2 Acquistando la Licenza e utilizzando il Software, il Licenziatario dichiara di aver letto e compreso il presente Contratto e di accettare integralmente e incondizionatamente ciascuna delle relative disposizioni.
2.3 L’accettazione integrale del presente Contratto è condizione necessaria per l’acquisto della Licenza e l’utilizzo del Software.
2.4 Se il Licenziatario non intende accettare il presente Contratto, è invitato a non procedere all’acquisto della Licenza e a non utilizzare il Software.
2.5 La mancata accettazione del presente Contratto da parte del Licenziatario comporta per il Licenziatario l’impossibilità di acquistare la Licenza e di utilizzare il Software.
2.6 Il Licenziante si riserva espressamente il diritto di modificare e/o integrare il presente Contratto; in tal caso, il Licenziante informerà il Licenziatario delle modifiche mediante comunicazione all’indirizzo e-mail indicato dal Licenziatario in fase di acquisto.
2.7 Salvo il diritto di recesso del Licenziatario ai sensi dell’articolo 6.2, l’utilizzo del Software da parte del Licenziatario successivamente all’introduzione di modifiche e/o integrazioni al presente Contratto comporta l’automatica e tacita accettazione delle modifiche e/o integrazioni stesse da parte del Licenziatario.
2.8 Alcuni elementi del Software potranno subire variazioni in qualsiasi momento, senza preavviso, a condizione che ciò non comporti una modifica sostanziale delle funzionalità del Software.
3 Modalità di utilizzo del Software
3.1 Il Licenziante concede al Licenziatario la Licenza d’uso del Software ai termini e alle condizioni previsti dal presente Contratto.
3.2 L’utilizzo del Software richiede la disponibilità di un idoneo dispositivo elettronico dotato di connessione a Internet; non è possibile utilizzare il Software in assenza di connessione a Internet.
3.3 Per poter utilizzare il Software, il Licenziatario dovrà preventivamente completare la procedura di acquisto sulla Piattaforma e procedere al pagamento del Corrispettivo.
3.4 Al momento dell’acquisto della Licenza, il Licenziatario dovrà:
(i) fornire tramite l’apposito modulo elettronico messo a disposizione nella Piattaforma tutti i dati richiesti, assicurandosi e garantendo che essi siano veritieri e corretti;
(ii) accettare integralmente e incondizionatamente il presente Contratto con le modalità indicate nel corso del processo di acquisto.
3.5 Successivamente alla conferma dell’acquisto della Licenza, il Licenziatario dovrà fornire al Licenziante:
(i) l’indicazione delle Credenziali di Accesso, affinché;
(ii) ogni ulteriore informazione richiesta dal Licenziante ai fini di consentire al Licenziatario l’utilizzo del Software.
3.6 Il Licenziatario dovrà conservare le Credenziali di Accesso con cura e diligenza massime, adottando tutte le misure idonee a impedire che esse vengano rivelate a, oppure sottratte e/o utilizzate da, terzi non autorizzati.
3.7 Per poter utilizzare il Software il Licenziatario dovrà necessariamente avere a disposizione le Credenziali di Accesso.
4 Licenza d’uso e Diritti di Proprietà Intellettuale
4.1 Con il presente Contratto e per l’intera Durata il Licenziante concede al Licenziatario il diritto non esclusivo, non trasferibile, non sub-licenziabile e limitato al territorio italiano (ovvero, qualora il Licenziatario sia un Consumatore residente in altro Stato membro dell’Unione Europea, al territorio di tale Stato membro) di utilizzare il Software conformemente alle modalità d’uso espressamente consentite e disciplinate dal presente Contratto.
4.2 Il Licenziatario dovrà attenersi a qualsiasi limitazione presente nel Software senza alterare in alcun modo il Software stesso.
4.3 Salvo quanto previsto da disposizioni inderogabili di legge, il Licenziatario si dovrà astenere, a titolo esemplificativo, dal compiere le seguenti attività:
(i) aggirare le limitazioni tecniche presenti nel Software;
(ii) decodificare, decompilare e/o disassemblare il Software, e/o effettuare sul Software operazioni, anche parziali, di reverse engineering, salvo nei limiti consentiti dall’art. 64-quater della legge 22 aprile 1941, n. 633;
(iii) rimuovere o modificare gli avvisi inerenti ai Diritti di Proprietà Intellettuale come appaiono nel Software.
4.4 Il Licenziante si riserva tutti i diritti (compresi i Diritti di Proprietà Intellettuale) non specificamente concessi al Licenziatario con la Licenza.
4.5 Salvo quanto espressamente consentito dal presente Contratto, il Licenziatario non può:
(i) usare il Software per fornire, rendere operativo, attuare o agevolare qualsiasi tipo di attività illecita, che sia soggetta a qualsiasi tipo di autorizzazione o che sia altrimenti regolamentata;
(ii) usare il Software per sviluppare attività, servizi e/o prodotti in concorrenza con l’attività del Licenziante o con il Software;
(iii) consentire a terzi l’accesso o l’utilizzo del Software, salvo quanto espressamente previsto nel presente Contratto;
(iv) distribuire o pubblicare le proprie Credenziali di Accesso;
(v) usare credenziali di accesso non autorizzate o Credenziali di Accesso di terzi.
4.6 Ai sensi della Licenza e comunque del presente Contratto, il Licenziante non cede né trasferisce, né si impegna a cedere o a trasferire, al Licenziatario alcun Diritto di Proprietà Intellettuale sul Software, o comunque ad esso inerente.
4.7 Tutti i Diritti di Proprietà Intellettuale sul Software sono e rimarranno di titolarità piena ed esclusiva del Licenziante e/o dei suoi danti causa, secondo quanto applicabile, in tutto il mondo e nella misura massima consentita da ciascuna legge applicabile.
4.8 Qualora il Licenziante ritenga ragionevolmente che il Software, ovvero il suo utilizzo, possano violare Diritti di Proprietà Intellettuale di terzi, potrà modificarlo o sostituirlo (in tutto o in parte) senza il consenso del Licenziatario, ovvero ottenere una licenza dal terzo interessato, il tutto a propria cura e spese, senza oneri aggiuntivi per il Licenziatario.
4.9 Il Software è protetto dalla normativa nazionale e internazionale in materia di Diritti di Proprietà Intellettuale, ivi inclusa la legge 22 aprile 1941, n. 633 e successive modificazioni.
4.10 Salvo quanto espressamente autorizzato dal presente Contratto, il Licenziatario non può riprodurre, salvo che nei limiti previsti dalle vigenti leggi applicabili, pubblicare, comunicare al pubblico con qualsiasi mezzo di comunicazione, trasmettere, distribuire, rimuovere, cancellare, aggiungere ovvero in qualsiasi altro modo modificare il Software, nonché creare opere a esso ispirate o derivate dallo stesso, commercializzare il Software o prendere parte attivamente alla sua commercializzazione.
4.11 È espressamente vietato al Licenziatario di danneggiare, interferire o interrompere l’accesso al Software, o di compiere azioni che potrebbero alterare la funzionalità o interferire con l’accesso di altri licenziatari o terzi al Software, nonché utilizzare il Software in modo illegale, illegittimo o dannoso per il Licenziante o per qualsiasi terzo.
4.12 Le funzionalità, l’accessibilità e/o l’utilizzo del Software potrebbero dipendere dall’accesso, dall’utilizzo e/o dal funzionamento di Risorse Terze; il Licenziante non potrà essere ritenuto responsabile della disponibilità, della raggiungibilità, dell’accessibilità, dell’utilizzo, dell’utilizzabilità, della funzionalità e/o dell’affidabilità delle Risorse Terze, né per eventuali danni dovessero derivare al Licenziatario in relazione ai contenuti o ai materiali o ai servizi offerti od ottenuti dal Licenziatario attraverso le Risorse Terze.
5 Corrispettivo e pagamenti
5.1 A fronte della concessione della Licenza da parte del Licenziante, il Licenziatario dovrà pagare al Licenziante il Corrispettivo indicato nella Piattaforma al momento dell’acquisto e altresì indicato nella Ricevuta Fiscale o nella Fattura.
5.2 Il pagamento del Corrispettivo avverrà mediante i metodi di pagamento messi a disposizione dalla Piattaforma al momento dell’acquisto della Licenza.
6 Durata, recesso e diritto di recesso del Consumatore
6.1 Il presente Contratto rimarrà efficace per l’intera Durata.
6.2 Il Licenziatario potrà recedere in qualunque momento dal presente Contratto, liberamente e senza alcuna penalità, mediante comunicazione scritta al Licenziante all’indirizzo PEC croftsolutions@pec.it, con almeno 15 (quindici) giorni di preavviso rispetto al ciclo di fatturazione mensile successivo.
6.3 Il Licenziante potrà recedere in qualsiasi momento dal presente Contratto, liberamente e senza alcuna penalità, mediante comunicazione scritta al Licenziatario con almeno 30 (trenta) giorni di preavviso.
6.4 In caso di recesso del Licenziante, il Licenziatario avrà diritto al rimborso pro rata del Corrispettivo eventualmente già corrisposto
per il periodo successivo alla data di efficacia del recesso e coperto dal Corrispettivo pagato.
6.5 Qualora il Licenziatario sia un Consumatore, ai sensi degli artt. 52 e ss. del Codice del Consumo, ha in ogni caso il diritto di recedere dal presente Contratto, senza indicarne le ragioni, entro 14 (quattordici) giorni dalla data di conclusione del Contratto.
6.6 Per esercitare il diritto di recesso di cui all’articolo 6.5, il Consumatore deve informare il Licenziante della sua decisione di recedere dal presente Contratto tramite una dichiarazione esplicita inviata all’indirizzo PEC croftsolutions@pec.it o mediante il modulo di recesso tipo di cui all’Allegato I, parte B, del d.lgs. 21 febbraio2014, n. 21.
6.7 Ai sensi dell’art. 59, comma 1, lett. o), del Codice del Consumo, il diritto di recesso di cui al precedente comma è escluso nel caso in cui il Consumatore abbia espressamente acconsentito all’esecuzione del Contratto e abbia accettato di perdere il diritto di recesso a seguito della piena esecuzione del Contratto da parte del Licenziante.
6.8 Qualora il Licenziatario rivesta la qualità di Consumatore e abbia espressamente richiesto l’inizio dell’esecuzione del Contratto durante il periodo di recesso ai sensi dell’art. 57, comma 3, del Codice del Consumo, e successivamente eserciti il diritto di recesso, il Licenziatario sarà tenuto a pagare al Licenziante un importo proporzionale a quanto è stato fornito fino al momento in cui il Licenziatario ha informato il Licenziante dell’esercizio del diritto di recesso, rispetto a tutte le prestazioni previste dal Contratto.
6.9 In caso di esercizio del diritto di recesso ai sensi dell’articolo 6.5, il Licenziante rimborserà al Consumatore il Corrispettivo pagato entro 14 (quattordici) giorni dal giorno in cui è informato della decisione del Consumatore di recedere dal Contratto.
7 Natura del Software ed esclusione di garanzia
7.1 Il Licenziatario riconosce e accetta espressamente che il Software è un mero strumento di analisi dei mercati finanziari e non costituisce in alcun modo consulenza finanziaria, raccomandazione di investimento, sollecitazione all’investimento o offerta al pubblico di strumenti finanziari.
7.2 Il Licenziatario dichiara di essere consapevole che: (i) gli investimenti in strumenti finanziari comportano rischi, inclusa la possibile perdita, anche integrale, del capitale investito; (ii) i rendimenti passati non sono indicativi di quelli futuri; (iii) prima di effettuare qualsiasi operazione di investimento è opportuno rivolgersi a un consulente finanziario abilitato ai sensi di legge.
7.3 Il Licenziatario prende atto e accetta che il Software non è destinato a investitori professionali ai sensi del TUF e che il Licenziante non è un soggetto autorizzato alla prestazione di servizi e attività di investimento ai sensi del TUF.
7.4 Il Software non costituisce e non può in alcun modo essere considerato un servizio di consulenza in materia di investimenti, gestione di portafogli, ricezione, trasmissione o esecuzione di ordini, o qualsiasi altro servizio di investimento ai sensi dell’art. 1, comma 5, del TUF.
7.5 Il Licenziatario riconosce e accetta espressamente che le analisi, i dati, le informazioni e i risultati forniti dal Software hanno natura meramente informativa e statistica e non devono essere intesi come suggerimenti o raccomandazioni per l’effettuazione di operazioni finanziarie di qualsiasi tipo.
7.6 Il Licenziatario riconosce e accetta espressamente che il Software è fornito dal Licenziante “come è” e “come disponibile” al momento della sua fruizione.
7.7 Nei limiti massimi previsti dalla legge applicabile e fatti salvi i diritti inderogabili spettanti al Consumatore ai sensi del Codice del Consumo, il Licenziante non fornisce alcuna garanzia, esplicita e/o implicita, in relazione al Software quali, a mero titolo esemplificativo, garanzie di commerciabilità o di idoneità a scopi particolari.
7.8 Nei limiti massimi previsti dalla legge applicabile e fatti salvi i diritti inderogabili spettanti al Consumatore ai sensi del Codice del Consumo, il Licenziante non fornisce alcuna garanzia in relazione alla continuità di utilizzo del Software da parte del Licenziatario, né in relazione all’accuratezza, completezza, affidabilità o tempestività delle analisi e dei dati forniti dal Software.
7.9 Resta ferma, se e in quanto applicabile, la garanzia legale di conformità prevista dagli artt. 128 e ss. nonché 135-octies e ss. del Codice del Consumo in favore del Consumatore.
7.10 Il Licenziatario riconosce e accetta che qualsiasi decisione di investimento o operazione finanziaria effettuata sulla base delle analisi o dei dati forniti dal Software è assunta dal Licenziatario a proprio esclusivo rischio e sotto la propria esclusiva responsabilità.
8 Limitazioni di responsabilità
8.1 Salvi i limiti inderogabili di legge e fatti salvi i diritti inderogabili spettanti al Consumatore ai sensi del Codice del Consumo, ivi inclusa la responsabilità per dolo o colpa grave, il Licenziante sarà esente da qualsivoglia responsabilità, tanto contrattuale, quanto extracontrattuale, in relazione ai danni di qualunque genere subiti e/o domandati dal Licenziatario e/o da qualsiasi terzo a causa o come conseguenza di:
(i) qualsiasi perdita finanziaria, minusvalenza, mancato guadagno, danno emergente o lucro cessante derivante da operazioni finanziarie di qualsiasi tipo, ivi incluse, a titolo meramente esemplificativo e non esaustivo, operazioni su strumenti finanziari, valute, criptovalute, derivati, materie prime, o qualsiasi altro asset finanziario, effettuate dal Licenziatario o da terzi sulla base delle analisi, dei dati, delle informazioni o dei risultati forniti dal Software;
(ii) utilizzi impropri o scorretti del Software;
(iii) accessi non autorizzati al Software;
(iv) accessi al Software da parte di terzi, anche ove autorizzati dal Licenziatario;
(v) alterazioni delle trasmissioni o dei dati del Licenziatario;
(vi) comunicazione a terzi delle Credenziali di Accesso da parte del Licenziatario;
(vii) decisioni di investimento o operative assunte dal Licenziatario o da terzi sulla base delle analisi o dei dati forniti dal Software; (viii)sottrazione delle Credenziali di Accesso del Licenziatario da
parte di terzi;
(ix) utilizzo, avvalimento o mancato o non corretto funzionamento delle Risorse Terze.
8.2 Salva in ogni caso la generalità di quanto previsto nel precedente comma, e salvi i limiti inderogabili di legge nonché i diritti inderogabili spettanti al Consumatore ai sensi del Codice del Consumo, ivi inclusa la responsabilità per dolo o colpa grave o il caso di danno alla persona del Consumatore, la responsabilità contrattuale e/o extracontrattuale massima del Licenziante in relazione a qualsivoglia danno subito e/o domandato dal Licenziatario e/o da qualsiasi terzo a causa o come conseguenza di qualsivoglia azione o omissione del Licenziante in violazione del presente Contratto, o della concessione della Licenza, o altrimenti, è limitata all’importo del Corrispettivo effettivamente pagato dal Licenziatario al Licenziante nei 12 (dodici) mesi antecedenti alla data di verificazione dell’evento dannoso.
8.3 Il Licenziatario dichiara e garantisce che: (i) utilizzerà il Software esclusivamente come strumento di analisi e non come base per decisioni di investimento; (ii) è consapevole dei rischi connessi alle operazioni finanziarie e che tali operazioni possono comportare la perdita parziale o totale del capitale investito; (iii) nell’utilizzo del Software non viola, né violerà, diritti di terzi, inclusi Diritti di Proprietà Intellettuale di terzi.
9 Forza maggiore
9.1 In caso di ritardo nell’adempimento del, o inadempimento al, presente Contratto da parte di una delle Parti per qualsiasi causa che esuli dal ragionevole controllo di tale Parte, compresi, ma senza limitazione alcuna, scioperi generali o locali, incendi, inondazioni, terremoti, guerre, epidemie, pandemie, attacchi terroristici, black- out non puramente locali e prolungati, e/o ordini o disposizioni delle autorità, tale Parte non sarà responsabile per i danni subiti dall’altra Parte e il presente Contratto si considererà sospeso per tutta la durata di tale ritardo o inadempimento e, una volta cessata la causa del ritardo o dell’inadempimento, il presente Contratto tornerà ad essere pienamente valido ed efficace.
9.2 In caso di sospensione del presente Contratto per un periodo complessivo superiore a 3 (tre) mesi, ai sensi del presente articolo l’altra Parte potrà immediatamente risolvere il presente Contratto, dando un congruo preavviso per iscritto.
9.3 Il presente articolo 9 non si applica agli obblighi che prevedono il pagamento di somme di denaro.
10 Cessione del Contratto
10.1 Salvo che ciò non sia espressamente e preventivamente autorizzato per iscritto dal Licenziante, il Licenziatario non potrà cedere, trasferire o altrimenti disporre, in tutto o in parte, del presente
Contratto, o di qualsivoglia suo diritto o sua obbligazione ai sensi del presente Contratto.
10.2 Il Licenziante avrà il diritto di cedere, trasferire o altrimenti disporre a favore di qualsiasi terzo, in tutto o in parte, del presente Contratto, o di qualsivoglia suo diritto o sua obbligazione ai sensi del presente Contratto, previo preavviso scritto al Licenziatario di almeno 15 (quindici) giorni.
10.3 Qualora il Licenziatario sia un Consumatore, questi avrà facoltà di recedere dal Contratto entro 15 (quindici) giorni dalla ricezione della comunicazione di cessione, con diritto al rimborso pro rata del Corrispettivo eventualmente già corrisposto per il periodo successivo alla data di efficacia del recesso e coperto dal Corrispettivo pagato.
11 Disposizioni varie
11.1 Nessuna rinuncia effettuata da ciascuna delle Parti in relazione a violazioni del presente Contratto potrà comportare anche la rinuncia di tale Parte in relazione a violazioni precedenti o successive.
11.2 Nel caso in cui una qualsiasi disposizione del presente Contratto dovesse essere ritenuta nulla, annullabile o inefficace, in tutto o in parte, il presente Contratto continuerà a essere valido per quanto concerne le altre disposizioni o le parti restanti della disposizione viziata, e le Parti dovranno negoziare in buona fede al fine di emendare o modificare le disposizioni del presente Contratto che siano state ritenute viziate, secondo quanto si renderà necessario in base alle circostanze.
11.3 Il presente Contratto rappresenta l’intero accordo tra le Parti, e supera ogni precedente patto, accordo, contratto o intesa, anche verbali, con riferimento a quanto ne forma oggetto.
11.4 Ai sensi dell’art. 49 del Codice del Consumo, prima della conclusione del Contratto il Licenziante mette a disposizione del Consumatore le informazioni relative alle caratteristiche principali del Software, all’identità del Licenziante, al Corrispettivo, alle modalità di pagamento, al diritto di recesso e alle modalità di esercizio dello stesso, alla durata del Contratto e alle condizioni di risoluzione.
11.5 Le clausole del presente Contratto devono essere interpretate in conformità alle disposizioni inderogabili del Codice del Consumo a tutela del Consumatore.
11.6 Qualora una clausola del presente Contratto sia ritenuta vessatoria ai sensi degli artt. 33 e 34 del Codice del Consumo, tale clausola sarà nulla, mentre il Contratto rimarrà valido ed efficace per il resto.
11.7 Il Consumatore può avvalersi della piattaforma europea di risoluzione delle controversie online (ODR) accessibile all’indirizzo https://ec.europa.eu/consumers/odr per la risoluzione extragiudiziale delle controversie relative al presente Contratto, ai sensi del Regolamento (UE) n. 524/2013.
11.8 La versione italiana del Contratto prevale sulla versione inglese in caso di conflitto.
12 Legge applicabile e foro competente
12.1 Il presente Contratto e la concessione della Licenza sono disciplinati dalla legge italiana.
12.2 Qualsiasi controversia inerente al presente Contratto e/o alla concessione della Licenza sarà devoluta alla competenza esclusiva del Tribunale di Milano, fatta eccezione per le controversie in cui il Licenziatario sia un Consumatore, nel qual caso si applicherà l’articolo 12.3.
12.3 Qualora il Licenziatario sia un Consumatore, sarà competente il foro del luogo di residenza o domicilio del Consumatore, se ubicato nel territorio italiano, ai sensi dell’art. 66-bis del Codice del Consumo.
13 Privacy e trattamento dei dati
13.1 Il Licenziante, in qualità di titolare del trattamento ai sensi del GDPR, informa il Licenziatario che i dati personali forniti dal Licenziatario in relazione all’acquisto della Licenza e all’utilizzo del Software saranno trattati dal Licenziante per le finalità di esecuzione e di adempimento del presente Contratto, ivi inclusa la gestione dell’account del Licenziatario, la fornitura del Software, l’elaborazione dei pagamenti del Corrispettivo e l’adempimento di qualsiasi obbligazione derivante dal o connessa al presente Contratto.
13.2 La base giuridica del trattamento dei dati personali del Licenziatario è l’esecuzione del presente Contratto e l’attuazione di
misure precontrattuali adottate su richiesta del Licenziatario, ai sensi dell’art. 6, paragrafo 1, lett. b), del GDPR.
13.3 Ove necessario, il Licenziante potrà altresì trattare i dati personali al fine di adempiere ad obblighi di legge cui il Licenziante è soggetto, ai sensi dell’art. 6, paragrafo 1, lett. c), del GDPR.
13.4 Le categorie di dati personali trattati dal Licenziante comprendono, a titolo esemplificativo e non esaustivo: (i) dati identificativi (quali nome, cognome, codice fiscale o partita IVA); (ii) dati di contatto (quali indirizzo e-mail, numero di telefono, indirizzo postale); (iii) Credenziali di Accesso; (iv) dati di pagamento e di fatturazione; e
(v) qualsiasi altro dato fornito dal Licenziatario tramite la Piattaforma o altrimenti comunicato al Licenziante in relazione all’utilizzo del Software.
13.5 I dati personali del Licenziatario saranno conservati dal Licenziante per l’intera durata del presente Contratto e, successivamente alla sua cessazione o scadenza, per il periodo richiesto dalla legge applicabile ai fini dell’adempimento degli obblighi di legge, fiscali e contabili, e in ogni caso per un periodo non superiore a quello necessario per le finalità per le quali i dati sono stati raccolti.
13.6 I dati personali del Licenziatario potranno essere comunicati a: (i) dipendenti e collaboratori del Licenziante, debitamente autorizzati al trattamento dei dati personali; (ii) fornitori di servizi terzi incaricati dal Licenziante quali responsabili del trattamento ai sensi dell’art. 28 del GDPR, ivi inclusi, a titolo esemplificativo e non esaustivo, fornitori di servizi di hosting, infrastruttura informatica, elaborazione dei pagamenti e gestione della Piattaforma; e (iii) autorità pubbliche, ove richiesto dalla legge applicabile.
13.7 I dati personali del Licenziatario non saranno oggetto di diffusione.
13.8 Qualora i dati personali del Licenziatario siano trasferiti al di fuori dello Spazio Economico Europeo, il Licenziante garantirà che tali trasferimenti siano effettuati in conformità al GDPR, anche facendo affidamento su decisioni di adeguatezza della Commissione Europea ai sensi dell’art. 45 del GDPR, ovvero su garanzie adeguate ai sensi dell’art. 46 del GDPR, ivi incluse le clausole contrattuali tipo adottate dalla Commissione Europea.
13.9 Il Licenziatario, in qualità di interessato, ha il diritto di: (i) accedere ai propri dati personali ai sensi dell’art. 15 del GDPR; (ii) ottenere
la rettifica dei dati personali inesatti ai sensi dell’art. 16 del GDPR;
(iii) ottenere la cancellazione dei dati personali ai sensi dell’art. 17 del GDPR, ove applicabile; (iv) ottenere la limitazione del trattamento ai sensi dell’art. 18 del GDPR; (v) ricevere i propri dati personali in un formato strutturato, di uso comune e leggibile da dispositivo automatico e di trasmetterli a un altro titolare del trattamento ai sensi dell’art. 20 del GDPR; e (vi) opporsi al trattamento dei dati personali ai sensi dell’art. 21 del GDPR.
13.10 Il Licenziatario potrà esercitare i diritti di cui al comma precedente contattando il Licenziante all’indirizzo PEC croftsolutions@pec.it.
13.11 Il Licenziatario ha altresì il diritto di proporre reclamo all’autorità di controllo competente (Garante per la protezione dei dati personali).
13.12 Il conferimento dei dati personali da parte del Licenziatario è necessario ai fini della conclusione e dell’esecuzione del presente Contratto e della concessione della Licenza.
13.13 Il mancato conferimento dei dati personali richiesti comporterà l’impossibilità per il Licenziante di dare esecuzione al presente Contratto e di concedere la Licenza al Licenziatario.
13.14 Il Licenziante adotterà misure tecniche e organizzative adeguate a garantire un livello di sicurezza adeguato al rischio, in conformità all’art. 32 del GDPR, al fine di proteggere i dati personali del Licenziatario da trattamenti non autorizzati o illeciti e dalla perdita, distruzione o danneggiamento accidentali.
Accettazione del Licenziatario

GENERAL TERMS AND CONDITIONS OF SOFTWARE LICENCE

€10,000.00 fully paid up, with registered office in Via Italia no. 50, 20090 Monza MB, certified email address croftsolutions@pec.it.
1 Definitions
In this Agreement, the following terms shall have the meanings set out below, it being understood that terms defined in the singular shall also apply to the plural and vice versa:
“Access Credentials”: the username and password selected by the Licensee at the time of registration, or otherwise assigned to the Licensee, and used by the Licensee to use and/or enjoy the Software.
“Consumer”: the natural person acting for purposes unrelated to any entrepreneurial, commercial, craft or professional activity carried out, pursuant to Article 3, paragraph 1, letter a) of the Consumer Code.
“Consumer Code”: Legislative Decree No. 206 of 6 September 2005.
“Contract”: these general terms and conditions of software licence, which govern the granting of the Licence by the Licensor to each Licensee.
“Fee”: the sum of money owed by the Licensee to the Licensor each month during the Term for the granting of the Licence, as indicated on the Platform at the time of purchase and in the Tax Receipt or Invoice.
“GDPR”: Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016.
“Intellectual Property Rights”: (i) trademarks (both registered and unregistered), trade names and company names, signs, business names, domain names, and any registration or application for registration thereof; (ii) copyrights, related rights, and any rights with equivalent effect; (iii) inventions (whether patentable or not), patents for inventions, utility models, designs and models (both
registered and unregistered) and all related applications; (iv) any know-how, trade or technical secrets, technologies, processes, designs, plans, specifications, methodologies; (v) software (including source codes, object codes and executables, systems, tools, data, firmware) and databases, as well as related documentation.
“Licence”: the licence to use the Software granted by the Licensor to the Licensee pursuant to this Agreement.
“Licensee”: any natural person who purchases the Licence and uses the Software.
“Licensor”: Croft Solutions S.r.l., tax code, VAT number and registration in the Milan Monza Brianza Lodi Companies Register no. 14521940966, REA MB-2789729, share capital €10,000.00
fully paid up, with registered office in Via Italia no. 50, 20090 Monza MB, certified email address croftsolutions@pec.it. “Parties”: the Licensor and the Licensee, jointly.
“Party”: the Licensor or the Licensee, alternatively and depending on the context.
“Platform”: the e-commerce platform through which the Licensee purchases the Licence.
“Software”: the software indicated from time to time in the Tax Receipt or Invoice relating to the payment of the Licence Fee, owned by the Licensor and subject to the Licence.
“Tax Receipt” or “Invoice”: the tax document issued by the Licensor following payment of the Fee by the Licensee, containing details of the Software licensed.
“Term”: the period of validity of the Licence as indicated in the Tax Receipt or Invoice or, if not specified, for an indefinite period until termination by one of the Parties.
“Third-Party Resources”: any software, database, website, platform or other IT resource owned by or made available by third parties. “TUF”: Legislative Decree No. 58 of 24 February 1998.
2 Execution and effectiveness of the Agreement
2.1 This Agreement is entered into between the Licensor and the Licensee and shall come into force upon completion of the Licence
purchase procedure on the Platform and payment of the Fee by the Licensee.
2.2 By purchasing the Licence and using the Software, the Licensee declares that they have read and understood this Agreement and that they fully and unconditionally accept each of its provisions.
2.3 Full acceptance of this Agreement is a necessary condition for purchasing the Licence and using the Software.
2.4 If the Licensee does not intend to accept this Agreement, they are invited not to proceed with the purchase of the Licence and not to use the Software.
2.5 Failure by the Licensee to accept this Agreement will result in the Licensee being unable to purchase the Licence and use the Software.
2.6 The Licensor expressly reserves the right to modify and/or supplement this Agreement; in such case, the Licensor shall inform the Licensee of the changes by sending a notice to the e-mail address provided by the Licensee at the time of purchase.
2.7 Without prejudice to the Licensee’s right of withdrawal pursuant to Article 6.2 , the Licensee’s use of the Software after the introduction of amendments and/or additions to this Agreement shall imply the Licensee’s automatic and tacit acceptance of such amendments and/or additions.
2.8 Certain elements of the Software may be subject to change at any time without notice, provided that this does not entail a substantial change in the functionality of the Software.
3 Terms of use of the Software
3.1 The Licensor grants the Licensee a licence to use the Software under the terms and conditions set out in this Agreement.
3.2 Use of the Software requires the availability of a suitable electronic device with an Internet connection; the Software cannot be used without an Internet connection.
3.3 In order to use the Software, the Licensee must first complete the purchase procedure on the Platform and proceed with payment of the Fee.
3.4 Upon purchase of the Licence, the Licensee shall:
(i) provide all the required data using the electronic form made available on the Platform, ensuring and guaranteeing that it is true and correct;
(ii) accept this Agreement in full and unconditionally in the manner indicated during the purchase process.
3.5 Following confirmation of the purchase of the Licence, the Licensee must provide the Licensor with:
(i) the Access Credentials, so that;
(ii) any further information requested by the Licensor in order to allow the Licensee to use the Software.
3.6 The Licensee must store the Access Credentials with the utmost care and diligence, taking all appropriate measures to prevent them from being disclosed to, or stolen and/or used by, unauthorised third parties.
3.7 In order to use the Software, the Licensee must have the Access Credentials available.
4 Licence and Intellectual Property Rights
4.1 With this Agreement and for the entire Term, the Licensor grants the Licensee the non-exclusive, non-transferable, non-sublicensable right, limited to the territory of Italy (or, if the Licensee is a Consumer residing in another Member State of the European Union, to the territory of that Member State), to use the Software in accordance with the terms of use expressly permitted and governed by this Agreement.
4.2 The Licensee shall comply with any limitations in the Software without altering the Software in any way.
4.3 Except as required by mandatory provisions of law, the Licensee shall refrain, by way of example, from performing the following activities:
(i) circumventing the technical limitations present in the Software;
(ii) decoding, decompiling and/or disassembling the Software, and/or performing reverse engineering operations, even partial, on the Software, except to the extent permitted by Article 64-quater of Law No. 633 of 22 April 1941;
(iii) removing or modifying the notices relating to Intellectual Property Rights as they appear in the Software.
4.4 The Licensor reserves all rights (including Intellectual Property Rights) not specifically granted to the Licensee under the Licence.
4.5 Except as expressly permitted by this Agreement, the Licensee may not:
(i) use the Software to provide, operate, implement or facilitate any type of illegal activity, which is subject to any type of authorisation or which is otherwise regulated;
(ii) use the Software to develop activities, services and/or products that compete with the Licensor’s business or with the Software;
(iii) allow third parties to access or use the Software, except as expressly provided for in this Agreement;
(iv) distribute or publish their Access Credentials;
(v) use unauthorised access credentials or third-party Access Credentials.
4.6 Pursuant to the Licence and in any case to this Agreement, the Licensor does not assign or transfer, nor does it undertake to assign or transfer, to the Licensee any Intellectual Property Rights in or relating to the Software.
4.7 All Intellectual Property Rights in the Software are and shall remain the full and exclusive property of the Licensor and/or its predecessors in title, as applicable, worldwide and to the fullest extent permitted by each applicable law.
4.8 If the Licensor reasonably believes that the Software, or its use, may infringe the Intellectual Property Rights of third parties, it may modify or replace it (in whole or in part) without the consent of the Licensee, or obtain a licence from the third party concerned, all at its own expense, without additional charges to the Licensee.
4.9 The Software is protected by national and international intellectual property rights legislation, including Law No. 633 of 22 April 1941, as amended.
4.10 Except as expressly authorised by this Agreement, the Licensee may not reproduce, except within the limits provided for by applicable laws, publish, communicate to the public by any means of communication, transmit, distribute, remove, delete, add or in any other way modify the Software, or create works inspired by or derived from it, market the Software or actively participate in its marketing.
4.11 The Licensee is expressly prohibited from damaging, interfering with or interrupting access to the Software, or from performing actions that could alter the functionality or interfere with other licensees’ or third parties’ access to the Software, as well as from using the Software in an illegal, illegitimate or harmful manner for the Licensor or any third party.
4.12 The functionality, accessibility and/or use of the Software may depend on access to, use of and/or operation of Third Party Resources; the Licensor shall not be held liable for the availability, reachability, accessibility, use, usability, functionality and/or reliability of Third-Party Resources, nor for any damage that may arise to the Licensee in relation to the content or materials or services offered or obtained by the Licensee through Third-Party Resources.
5 Fee and payments
5.1 In consideration of the granting of the Licence by the Licensor, the Licensee shall pay the Licensor the Fee indicated on the Platform at the time of purchase and also indicated on the Tax Receipt or Invoice.
5.2 Payment of the Fee shall be made using the payment methods made available by the Platform at the time of purchase of the Licence.
6 Duration, withdrawal and consumer’s right of withdrawal
6.1 This Agreement shall remain in force for the entire Term.
6.2 The Licensee may withdraw from this Agreement at any time, freely and without penalty, by giving written notice to the Licensor at the certified email address croftsolutions@pec. it, with at least 15 (fifteen) days’ notice prior to the next monthly billing cycle.
6.3 The Licensor may terminate this Agreement at any time, freely and without penalty, by giving written notice to the Licensee at least 30 (thirty) days in advance.
6.4 In the event of withdrawal by the Licensor, the Licensee shall be entitled to a pro rata refund of any Fee already paid for the period following the effective date of withdrawal and covered by the Fee paid.
6.5 If the Licensee is a Consumer, pursuant to Articles 52 et seq. of the Consumer Code, they shall in any case have the right to withdraw from this Agreement, without giving any reason, within 14 (fourteen) days from the date of conclusion of the Agreement.
6.6 To exercise the right of withdrawal referred to in Article 6.5 , the Consumer must inform the Licensor of their decision to withdraw from this Agreement by means of an explicit statement sent to the certified email address croftsolutions@pec.it or by means of the standard withdrawal form referred to in Annex I, part B, of Legislative Decree No. 21 of 21 February 2014.
6.7 Pursuant to Article 59, paragraph 1, letter o) of the Consumer Code, the right of withdrawal referred to in the previous paragraph is excluded if the Consumer has expressly consented to the performance of the Agreement and has agreed to lose the right of withdrawal following the full performance of the Agreement by the Licensor.
6.8 If the Licensee is a Consumer and has expressly requested the commencement of the performance of the Contract during the withdrawal period pursuant to Article 57, paragraph 3, of the Consumer Code, and subsequently exercises the right of withdrawal, the Licensee shall be required to pay the Licensor an amount proportional to what has been provided up to the moment the Licensee informed the Licensor of the exercise of the right of withdrawal, with respect to all the services provided for in the Contract.
6.9 In the event of exercising the right of withdrawal pursuant to Article 6.5 , the Licensor shall reimburse the Consumer for the Consideration paid within 14 (fourteen) days from the day on which it is informed of the Consumer’s decision to withdraw from the Contract.
7 Nature of the Software and exclusion of warranty
7.1 The Licensee expressly acknowledges and accepts that the Software is merely a tool for analysing financial markets and does not in any way constitute financial advice, investment recommendations, investment solicitation or a public offering of financial instruments.
7.2 The Licensee declares that they are aware that: (i) investments in financial instruments involve risks, including the possible loss, even total, of the capital invested; (ii) past performance is not indicative of future results; (iii) before making any investment transaction, it is advisable to consult a financial advisor authorised by law.
7.3 The Licensee acknowledges and accepts that the Software is not intended for professional investors within the meaning of the TUF and that the Licensor is not authorised to provide investment services and activities within the meaning of the TUF.
7.4 The Software does not constitute and cannot in any way be considered an investment advisory service, portfolio management, receipt, transmission or execution of orders, or any other investment service within the meaning of Article 1, paragraph 5, of the TUF.
7.5 The Licensee expressly acknowledges and accepts that the analyses, data, information and results provided by the Software are purely informative and statistical in nature and should not be construed as suggestions or recommendations for carrying out financial transactions of any kind.
7.6 The Licensee expressly acknowledges and accepts that the Software is provided by the Licensor “as is” and “as available” at the time of its use.
7.7 To the maximum extent permitted by applicable law and without prejudice to the mandatory rights of the Consumer under the Consumer Code, the Licensor makes no warranty, express or implied, in relation to the Software, including, without limitation, warranties of merchantability or fitness for a particular purpose.
7.8 To the maximum extent permitted by applicable law and without prejudice to the mandatory rights of the Consumer under the Consumer Code, the Licensor makes no warranty with regard to the continuity of use of the Software by the Licensee, nor with regard to the accuracy, completeness, reliability or timeliness of the analyses and data provided by the Software.
7.9 The legal guarantee of conformity provided for in Articles 128 et seq. and 135-octies et seq. of the Consumer Code in favour of the Consumer remains unaffected, if and to the extent applicable.
7.10 The Licensee acknowledges and accepts that any investment decision or financial transaction made on the basis of the analyses or data provided by the Software is made by the Licensee at its own exclusive risk and under its own exclusive responsibility.
8 Limitations of liability
8.1 Without prejudice to the mandatory limits of the law and without prejudice to the mandatory rights of the Consumer under the Consumer Code, including liability for wilful misconduct or gross negligence, the Licensor shall be exempt from any liability, whether contractual or non-contractual, in relation to damages of any kind suffered and/or claimed by the Licensee and/or any third party due to or as a consequence of:
(i) any financial loss, capital loss, loss of earnings, actual damage or loss of profit arising from financial transactions of any kind, including, but not limited to, transactions in financial instruments, currencies, cryptocurrencies, derivatives, commodities, or any other financial asset ( ) carried out by the Licensee or third parties on the basis of the analyses, data, information or results provided by the Software;
(ii) improper or incorrect use of the Software;
(iii) unauthorised access to the Software;
(iv) access to the Software by third parties, even if authorised by the Licensee;
(v) alterations to the Licensee’s transmissions or data;
(vi) communication of Access Credentials to third parties by the Licensee;
(vii) investment or operational decisions made by the Licensee or third parties based on analyses or data provided by the Software;
(viii) theft of the Licensee’s Access Credentials by third parties;
(ix) use, exploitation or failure or incorrect operation of Third- Party Resources.
8.2 Without prejudice to the generality of the provisions of the previous paragraph, and without prejudice to the mandatory limits of the law and the mandatory rights of the Consumer under the Consumer Code, including liability for wilful misconduct or gross negligence or in the event of injury to the Consumer, the maximum contractual and/or non-contractual liability of the Licensor in relation to any damage suffered and/or claimed by the Licensee and/or any third party due to or as a consequence of any action or omission by the Licensor in breach of this Agreement or the granting of the Licence or otherwise, shall be limited to the amount of the Fee actually paid by the Licensee to the Licensor in the 12 (twelve) months prior to the date of the harmful event.
8.3 The Licensee represents and warrants that: (i) it will use the Software exclusively as an analysis tool and not as a basis for investment decisions; (ii) it is aware of the risks associated with financial transactions and that such transactions may result in the partial or total loss of the capital invested; (iii) in using the Software, it does not and will not infringe the rights of third parties, including the Intellectual Property Rights of third parties.
9 Force majeure
9.1 In the event of a delay in the performance of, or failure to perform, this Agreement by either Party for any reason beyond the reasonable control of that Party, including, but not limited to, general or local strikes, fires, floods, earthquakes, wars, epidemics, pandemics, terrorist attacks, prolonged and not purely local blackouts, and/or orders or provisions of the authorities, that Party shall not be liable for any damages suffered by the other Party and this Agreement shall be deemed suspended for the duration of such delay or non-performance and, once the cause of the delay or non- performance has ceased, this Agreement shall return to being fully valid and effective.
9.2 In the event of suspension of this Agreement for a total period exceeding 3 (three) months, pursuant to this article, the other Party may immediately terminate this Agreement by giving reasonable notice in writing.
9.3 This Article 9 does not apply to obligations involving the payment of sums of money.
10 Assignment of the Agreement
10.1 Unless expressly authorised in advance in writing by the Licensor, the Licensee may not assign, transfer or otherwise dispose of, in
whole or in part, this Agreement or any of its rights or obligations under this Agreement.
10.2 The Licensor shall have the right to assign, transfer or otherwise dispose of this Agreement, in whole or in part, or any of its rights or obligations under this Agreement, to any third party, subject to at least 15 (fifteen) days’ prior written notice to the Licensee.
10.3 If the Licensee is a Consumer, they shall have the right to withdraw from the Agreement within 15 (fifteen) days of receiving the notice of assignment, with the right to a pro rata refund of any Fee already paid for the period following the effective date of withdrawal and covered by the Fee paid.
11 Miscellaneous provisions
11.1 No waiver by either Party in relation to breaches of this Agreement shall constitute a waiver by that Party in relation to previous or subsequent breaches.
11.2 If any provision of this Agreement is held to be void, voidable or unenforceable, in whole or in part, this Agreement shall continue to be valid with respect to the other provisions or the remaining parts of the defective provision, and the Parties shall negotiate in good faith to amend or modify the provisions of this Agreement that have been found to be defective, as may be necessary under the circumstances.
11.3 This Agreement represents the entire agreement between the Parties and supersedes any prior agreement, arrangement, contract or understanding, including verbal ones, with regard to its subject matter.
11.4 Pursuant to Article 49 of the Consumer Code, prior to the conclusion of the Agreement, the Licensor shall provide the Consumer with information regarding the main characteristics of the Software, the identity of the Licensor, the Consideration, the methods of payment, the right of withdrawal and the methods for exercising it, the duration of the Agreement and the conditions for termination.
11.5 The clauses of this Contract shall be interpreted in accordance with the mandatory provisions of the Consumer Code for the protection of the Consumer.
11.6 If any clause of this Contract is deemed unfair pursuant to Articles 33 and 34 of the Consumer Code, that clause shall be void, while the rest of the Contract shall remain valid and effective.
11.7 The Consumer may use the European online dispute resolution (ODR) platform accessible at https://ec.europa.eu/consumers/odr for the out-of-court resolution of disputes relating to this Contract, in accordance with Regulation (EU) No 524/2013.
11.8 The Italian version of the Contract shall prevail over the English version in the event of any conflict.
12 Applicable law and jurisdiction
12.1 This Agreement and the granting of the Licence are governed by Italian law.
12.2 Any dispute relating to this Agreement and/or the granting of the Licence shall be referred to the exclusive jurisdiction of the Court of Milan, except for disputes in which the Licensee is a Consumer, in which case Article 12.3 shall apply.
12.3 If the Licensee is a Consumer, the court of the place of residence or domicile of the Consumer, if located in Italy, shall have jurisdiction, pursuant to Article 66-bis of the Consumer Code.
13 Privacy and data processing
13.1 The Licensor, acting as data controller pursuant to the GDPR, hereby informs the Licensee that the personal data provided by the Licensee in connection with the purchase of the Licence and the use of the Software shall be processed by the Licensor for the purposes of performing and giving execution to this Agreement, including the management of the Licensee’s account, the provision of the Software, the processing of payments of the Fee, and the fulfilment of any obligation arising from or connected with this Agreement.
13.2 The legal basis for the processing of the Licensee’s personal data is the performance of this Agreement and the execution of pre- contractual measures taken at the Licensee’s request, pursuant to Article 6(1)(b) of the GDPR.
13.3 Where required, the Licensor may also process personal data in order to comply with legal obligations to which the Licensor is subject, pursuant to Article 6(1)(c) of the GDPR.
13.4 The categories of personal data processed by the Licensor include, but are not limited to: (i) identification data (such as name, surname, tax code or VAT number); (ii) contact data (such as e-mail address, telephone number, postal address); (iii) Access Credentials; (iv) payment and billing data; and (v) any other data provided by the Licensee through the Platform or otherwise communicated to the Licensor in connection with the use of the Software.
13.5 The Licensee’s personal data shall be retained by the Licensor for the entire duration of this Agreement and, following its termination or expiry, for the period required by applicable law for the fulfilment of legal, tax and accounting obligations, and in any event for no longer than is necessary for the purposes for which the data were collected.
13.6 The Licensee’s personal data may be disclosed to: (i) employees and collaborators of the Licensor, duly authorised to process personal data; (ii) third-party service providers engaged by the Licensor as data processors pursuant to Article 28 of the GDPR, including, without limitation, providers of hosting, IT infrastructure, payment processing and Platform management services; and (iii) public authorities, where required by applicable law.
13.7 The Licensee’s personal data shall not be disseminated.
13.8 Where the Licensee’s personal data are transferred outside the European Economic Area, the Licensor shall ensure that such transfers are carried out in compliance with the GDPR, including by relying on adequacy decisions of the European Commission pursuant to Article 45 of the GDPR, or on appropriate safeguards pursuant to Article 46 of the GDPR, including standard contractual clauses adopted by the European Commission.
13.9 The Licensee, as data subject, has the right to: (i) access their personal data pursuant to Article 15 of the GDPR; (ii) obtain the rectification of inaccurate personal data pursuant to Article 16 of the GDPR; (iii) obtain the erasure of personal data pursuant to Article 17 of the GDPR, where applicable; (iv) obtain the restriction of processing pursuant to Article 18 of the GDPR; (v) receive their personal data in a structured, commonly used and machine-readable format and to transmit such data to another controller pursuant to Article 20 of the GDPR; and (vi) object to the processing of personal data pursuant to Article 21 of the GDPR.
13.10 The Licensee may exercise the foregoing rights by contacting the Licensor at the certified email address croftsolutions@pec.it.
13.11 The Licensee also has the right to lodge a complaint with the competent supervisory authority (Garante per la protezione dei dati personali).
13.12 The provision of personal data by the Licensee is necessary for the conclusion and performance of this Agreement and the granting of the Licence. Failure to provide the required personal data shall result in the inability of the Licensor to execute this Agreement and to grant the Licence to the Licensee.
13.13 The Licensor shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, in accordance with Article 32 of the GDPR, in order to protect the Licensee’s personal data against unauthorised or unlawful processing and against accidental loss, destruction or damage.

Pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, the Licensee declares that it fully and unconditionally accepts and specifically approves the following clauses of these General Terms and Conditions of Software Licence: 2.6 (amendments to the Agreement); 2.8 (changes to the Software); 4.5 (limitations of use); 6.3 (withdrawal by the Licensor); 7 (nature of the Software and exclusion of warranty); 8.1 (exclusion of liability); 8.2 (limitation of liability); 10.1 (prohibition on assignment of the Agreement); 10.2 (assignment of the Agreement); 12.2 (jurisdiction); 13 (privacy and data processing).
